Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website, client platform, and services provided by Embry Solutions LLC (“Embry Solutions,” “we,” “us,” or “our”). By accessing our website, requesting a quote, or using our services, you agree to these Terms.

1. Our Services

Embry Solutions provides aerial data collection using unmanned aircraft (drones) and produces geospatial deliverables such as orthomosaic maps, 3D models, point clouds, elevation data, and related visualizations, delivered primarily through our web-based client platform.

2. Not a Land Survey — Accuracy & Professional Disclaimer

This data is not a legal survey. Embry Solutions LLC does not perform land surveys. For boundary, subdivision, or title surveys, please consult a licensed Texas surveyor.

Our deliverables are provided for informational, planning, and visualization purposes. They are not a boundary, cadastral, or legal survey, and must not be relied upon for legal boundary determinations, property-line disputes, title, subdivision, engineering design, or construction staking without independent verification by an appropriately licensed professional. Measurements, areas, volumes, and elevations are estimates derived from aerial data and carry inherent uncertainty. You are responsible for confirming any measurement before relying on it for a decision with legal, financial, or safety consequences.

3. Eligibility & Accounts

You must be at least 18 and able to form a binding contract. Client platform access is granted through access codes or share links we issue. You are responsible for keeping your access credentials confidential and for activity that occurs under your account. Notify us promptly of any unauthorized use.

4. Your Responsibilities

• You represent that you own the property to be mapped or are authorized by the owner to commission mapping of it, and that our flights and data collection at the site are permitted.
• You will use our website, platform, and deliverables lawfully and only for legitimate purposes.
• You will not attempt to disrupt, reverse-engineer, scrape, or gain unauthorized access to the platform or other clients’ data.
• You will not re-share access credentials or deliverables in violation of these Terms or another party’s rights.

5. Deliverables, Ownership & License

Upon full payment, you receive a license to use the deliverables we produce for your project for your own business and personal purposes. Unless otherwise agreed in writing, Embry Solutions retains ownership of its underlying software, platform, tools, processing methods, and templates. We may use de-identified or aggregated data, and (unless you ask us not to) non-confidential project imagery, to improve our services and for portfolio and marketing purposes.

6. Payment Terms

• Fees are set out in the quote, invoice, or order you accept. Payments are processed through Stripe, and by paying you also agree to Stripe’s applicable terms.
• Invoices are due as stated on the invoice. Late or unpaid amounts may result in suspension of access to deliverables.
• Subscriptions. If you purchase a recurring service (such as ongoing monitoring), it renews automatically each billing period until canceled, and you authorize recurring charges. You may cancel future renewals as described in your account or by contacting us.
• Except as required by law or expressly stated, fees are non-refundable.

7. Confidentiality

We treat your project information as confidential and will not disclose it except as described in our Privacy Policy or as needed to deliver the services. You agree to keep any non-public information about our platform and pricing confidential.

8. Disclaimer of Warranties

Except as expressly stated in a signed agreement, our website, platform, and deliverables are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that deliverables will meet any specific accuracy standard unless agreed in writing.

9. Limitation of Liability

To the fullest extent permitted by law, Embry Solutions and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to your use of our website, platform, or deliverables. Our total aggregate liability for any claim will not exceed the amount you paid us for the specific project giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Embry Solutions from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of the deliverables, or your lack of authorization to have the property mapped.

11. Third-Party Services

Our platform relies on third-party services (including hosting, storage, payments, and mapping providers). We are not responsible for the acts, omissions, or outages of those providers, though we work to choose reputable vendors.

12. Termination

We may suspend or terminate access for violation of these Terms or non-payment. You may stop using the services at any time. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in Texas, and you consent to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. Changes are effective when we post the revised Terms and update the “Last updated” date above. Your continued use after changes take effect constitutes acceptance.
